Terms of Service

1. Service Description

BrainKit ("we", "us", "our") provides an AI productivity setup service for solo consultants and freelancers. The service consists of a custom configuration file (CLAUDE.md) and supporting materials tailored to your work context, delivered by Johannes via a remote setup session and follow-up email.

By purchasing a BrainKit package you ("the client") agree to these Terms of Service in full. If you do not agree, do not proceed with purchase.

2. Payment and Refund Policy

All prices are quoted in USD and are payable in full at the time of purchase via Stripe. Applicable taxes may be added at checkout depending on your location.

Because BrainKit delivers a bespoke digital service, no refunds are offered once delivery has commenced. Delivery is considered to have commenced when you receive the intake confirmation email following your purchase.

If you have a concern before delivery begins, contact johannes@brainkit.so and we will work to resolve it.

3. Delivery

We aim to deliver your CLAUDE.md and supporting materials within the timeframe stated on the pricing page at the time of purchase. Timelines are estimates and may be affected by intake form completion time, scheduling availability, or circumstances outside our control.

You are responsible for completing the intake form accurately and in a timely manner. Significant delay on your part may push back your delivery date.

4. Intellectual Property

Upon delivery and receipt of full payment, you own the CLAUDE.md file and any personalised configuration materials we produce specifically for you. You may use, modify, and distribute them freely.

We retain ownership of the underlying template methodology, system design patterns, and any generic tooling used to produce your deliverables. Nothing in these Terms transfers ownership of that methodology to you.

The BrainKit starter template published on GitHub is licensed separately under the MIT licence; see the repository for details.

5. Acceptable Use

You agree not to use BrainKit services or deliverables to:

• Violate any applicable laws or regulations
• Infringe the intellectual property rights of any third party
• Generate, distribute, or store content that is harmful, abusive, or discriminatory
• Resell or sublicense the deliverables as a competing AI setup service without our prior written consent

6. Disclaimer of Warranties

The service is provided "as is". We make no warranty that the CLAUDE.md or related materials will produce any specific outcome in your AI tooling, that they will be free from errors, or that they will remain compatible with third-party tools (such as Claude, Cursor, or any other AI assistant) as those tools evolve.

7. Limitation of Liability

To the maximum extent permitted by applicable law, BrainKit and Johannes shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the service or deliverables, even if advised of the possibility of such damages.

Our total liability for any claim arising under these Terms shall not exceed the amount you paid for the relevant service.

8. Governing Law

These Terms are governed by and construed in accordance with the laws of Colombia, without regard to its conflict of law provisions. Any disputes shall be subject to the exclusive jurisdiction of the courts of Colombia.

9. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via email to clients with active or recent engagements. Continued use of the service after changes take effect constitutes acceptance of the updated Terms.
